Cruize Master Service Agreement

1. Acceptance of Terms

By accessing or using Cruize services, you acknowledge that you have read, understand, and agree to be bound by this Master Service Agreement (the “Agreement”). If you are entering into this Agreement on behalf of an organization, you represent that you have authority to do so.

2. Description of Service

Cruize delivers enterprise-grade security and compliance management software-as-a-service. We may modify, suspend, or discontinue any part of the service, with or without notice, provided that we will use reasonable efforts to communicate material changes in advance.

3. User Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify Cruize immediately of any unauthorized use or suspected breach of security.

4. Payment and Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected during checkout. You may cancel your subscription at any time through your billing settings. Cancellations become effective at the end of the then-current billing period, and previously paid fees are non-refundable except where required by law.

5. Acceptable Use

You agree not to use the service for any unlawful or unauthorized purpose, including but not limited to: violating applicable laws; transmitting malicious code; attempting to gain unauthorized access; or interfering with the integrity, availability, or performance of the service. Cruize reserves the right to investigate and remediate violations.

6. Intellectual Property

Cruize retains all right, title, and interest in the service and its underlying technology, including associated intellectual property rights. You receive a limited, non-transferable license to access and use the service in accordance with this Agreement.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CRUIZE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRUIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE.

9. Termination

Cruize may suspend or terminate access to the service at any time if you breach this Agreement or if continued service would pose a security, compliance, or operational risk. You may terminate your account by following the procedures outlined in your billing settings.

10. Changes to These Terms

We may update this Agreement from time to time. Material changes will be communicated via email or in-product notifications. Continued use of the service after the effective date of any update constitutes acceptance of the revised terms.
